These Terms and Conditions govern the use of the Assetify platform and website operated by Assetify, registered in the Netherlands.

By creating an account or using the Assetify platform, you agree to these terms in full. If you do not agree, you may not use the platform.

Platform

The Assetify software application accessible via getassetify.com.

Customer

Any organization or individual that subscribes to the platform.

User

Any individual granted access to the platform by a Customer.

Content

Any data, files, or information uploaded to the platform by the Customer.

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access to your account.

Each account may be used by one organization only unless a multi-tenant arrangement is agreed in writing.

The platform may only be used for lawful IT asset management purposes. You may not use the platform to:

• Store illegal content.
• Attempt to gain unauthorized access to our systems.
• Reverse engineer or copy the platform.
• Resell or sublicense access without written permission.
• Interfere with the platform's availability for other users.

Assetify is offered on a subscription basis with plans as published on getassetify.com/pricing. Subscriptions are billed monthly or annually in advance.

All prices are in Euros and exclude VAT unless stated otherwise. Dutch VAT applies at the applicable rate.

New customers may access a free trial as advertised on our website. The trial period begins on account creation. No credit card is required for the trial.

At the end of the trial, the account is paused and data is retained for thirty days. Upgrading to a paid plan at any time during or after the trial restores full access.

Payment is collected automatically via the payment method provided at signup. Failed payments will result in a grace period of 7 days before account suspension. Suspended accounts retain data for 30 days before deletion.

Invoices are issued electronically and are available in the billing portal.

You may cancel your subscription at any time from the billing portal. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.

Annual subscriptions may be refunded on a pro-rata basis within fourteen days of payment if requested in writing.

The Assetify platform, including all software, design, content, and trademarks, is owned by Assetify and protected by Dutch and international intellectual property law.

You retain ownership of all data and content you upload to the platform. You grant Assetify a limited license to process your content solely for the purpose of providing the service. We do not claim ownership of your data.

Processing of personal data is governed by our Privacy Statement and Data Processing Agreement, both available on our website.

You are responsible for ensuring your use of the platform complies with applicable data protection laws including GDPR and the Dutch AVG.

Both parties agree to keep confidential any non-public information shared in the context of the service relationship. This obligation survives termination of the agreement for a period of three years.

We aim to maintain 99.9% platform availability as described in our Service Level Agreement. Planned maintenance is communicated in advance and does not count against availability commitments.

We reserve the right to modify or discontinue features with reasonable notice.

The platform may integrate with third-party services such as Microsoft Entra ID, Jamf Pro, and BambooHR.

We are not responsible for the availability, performance, or data handling practices of third-party services. Your use of third-party integrations is subject to their own terms and privacy policies.

To the maximum extent permitted by Dutch law, Assetify's total liability for any claims arising from use of the platform shall not exceed the fees paid by the Customer in the twelve months preceding the claim.

We are not liable for indirect, incidental, or consequential damages including loss of profit, loss of data, or business interruption.

We warrant that the platform will perform substantially as described in our documentation under normal use conditions. We do not warrant that the platform will be error-free or uninterrupted.

The platform is provided as a tool to support asset management and compliance processes. It is not a substitute for professional legal, compliance, or security advice. Assetify's compliance features support your compliance efforts but do not guarantee regulatory compliance.

You agree to indemnify and hold Assetify harmless from any claims, damages, or costs arising from your misuse of the platform, violation of these terms, or infringement of third-party rights.

Either party may terminate the agreement with thirty days written notice. We may terminate immediately if you breach these terms materially and fail to remedy the breach within fourteen days of notice.

Upon termination, your access to the platform will cease and your data will be handled in accordance with our Data Processing Agreement.

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least thirty days in advance. Continued use of the platform after the effective date of changes constitutes acceptance.

If you do not accept the changes, you may terminate your subscription before the effective date.

These terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the competent court in the Netherlands.

We will always attempt to resolve disputes amicably before initiating legal proceedings.
